    # MUTUAL NONDISCLOSURE AGREEMENT **Effective Date:** October 14, 2025 This Mutual Nondisclosure Agreement (this "Agreement") is entered into as of the Effective Date by and between Northwind Analytics, Inc., a Delaware corporation ("Northwind"), and Aperture Labs, LLC, a California limited liability company ("Aperture"). Each party may disclose certain confidential and proprietary information to the other in connection with evaluating a potential commercial relationship. ## 1. Definition of Confidential Information. "Confidential Information" means all non-public information disclosed by a party (the "Disclosing Party") to the other party (the "Receiving Party"), whether orally, in writing, or by inspection of tangible objects, including without limitation business plans, customer lists, financial data, product roadmaps, source code, pricing, and technical specifications. ## 2. Exclusions. Confidential Information does not include information that (a) was publicly known prior to disclosure; (b) becomes publicly known through no wrongful act of the Receiving Party; (c) is rightfully received from a third party without restriction; or (d) is independently developed without use of the Disclosing Party's Confidential Information. ## 3. Obligations of the Receiving Party. The Receiving Party shall hold the Disclosing Party's Confidential Information in strict confidence, shall not disclose it to any third party without prior written consent, and shall use it solely for the purpose described above. The Receiving Party shall protect such information using no less than reasonable care. ## 4. Term. This Agreement commences on the Effective Date and continues for a period of three (3) years, provided that the obligations with respect to trade secrets survive indefinitely. ## 5. Return of Materials. Upon written request, the Receiving Party shall promptly return or destroy all tangible materials embodying Confidential Information and certify such destruction in writing. ## 6. No License. Nothing in this Agreement grants either party any right, title, license, or interest in the other party's intellectual property, whether by implication, estoppel, or otherwise. ## 7. Governing Law. This Agreement is governed by the laws of the State of Delaware, without regard to its conflict of laws principles. The parties consent to exclusive jurisdiction in Wilmington, Delaware. ## 8. Notices. All notices under this Agreement shall be in writing and delivered by certified mail or nationally recognized overnight courier to the addresses set forth beneath each party's signature below. ## 9. Entire Agreement. This Agreement constitutes the entire understanding between the parties regarding Confidential Information and supersedes all prior discussions.
